These Terms & Conditions (“Terms”) govern your access to and use of Flixstock PTE. LTD’s (“EngageReel”, “we”, “our”, “us”) website, platform, and related services (collectively, the “Services”).

By creating an account, subscribing, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using our Services.

1. Eligibility

By creating an account, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into these Terms.
  • All information provided during registration is accurate and complete.

2. Services overview

EngageReel provides an AI-powered platform that generates videos from product images and related inputs for eCommerce and marketing purposes. Features may evolve and change over time.

3. Accounts

  • You are responsible for keeping your account credentials confidential and for all activity under your account.
  • You must provide accurate and up-to-date information during registration.
  • We may suspend or terminate accounts for violating these Terms.

4. Subscription plans & payments

  • Services are provided on a subscription and/or pay-per-use basis, as detailed on our Pricing Page.
  • Payments are processed by third-party payment providers (e.g., Stripe).
  • Generally, all payments are non-refundable except in the following circumstances:
  • Service failures lasting more than 48 consecutive hours.
  • Technical issues preventing access to paid features for more than 7 days.
  • Billing errors or unauthorized charges.
  • Within 7 days of initial subscription if no services have been used.
  • Where required by applicable consumer protection laws.
    Refund requests must be submitted within 30 days of the issue occurring. Refunds will be processed within 15 business days of approval. Partial refunds may be provided for pro-rated unused periods in cases of service failure.
  • You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. For downgrades, you may choose to have the change take effect immediately or at the start of your next billing cycle.
  • Cancellations take effect at the end of your current billing cycle, and your subscription will remain active until your next renewal date.
  • Any paid credits purchased and added to your account do not expire and remain available for use indefinitely; however, they can only be redeemed while you have an active subscription plan.
  • If payment fails, we may suspend or terminate access to the Services.

5. Use of AI and uploaded content

a) License to use User Content

“User Content” refers to any materials that you, as a user, upload, submit, or otherwise provide to the EngageReel platform, including but not limited to product images, videos, text, data, and other creative assets. It also includes any outputs generated by the platform from such materials (e.g., AI-generated videos based on your inputs)

b) AI-generated outputs created by our platform using your User Content is “Generated Content”. Subject to these Terms, EngageReel grants you a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use, reproduce, modify, distribute, and commercially exploit Generated Content created through our Services.

EngageReel grants you a non-transferable, revocable, limited license to access and use our Services in accordance with these Terms

c) You retain ownership of your original User Content. You grant EngageReel a revocable, non-exclusive, royalty-free, worldwide license to:

  1. Process, store, and analyze your User Content to provide the Services.
  2. Create Generated Content based on your inputs.
  3. Use your User Content for service improvement and model training, with your consent.
  4. Use your Generated Content for promotional, marketing, and demonstration purposes, including in our online galleries, case studies, and social media.

d) Customer Marks Usage – Limited License. 

You may grant EngageReel permission to use your company name and logo (“Customer Marks“) in our marketing materials. This permission:

  • Must be explicitly granted through a separate consent mechanism.
  • Can be revoked at any time with 30 days’ written notice.

 

e) Data Protection Compliance

In accordance with the Personal Data Protection Act (PDPA):

  • We process personal data only for specified, legitimate purposes.
  • You consent to processing necessary data for service delivery.
  • You may withdraw consent for non-essential processing.
  • We will notify you of data breaches within 72 hours where required by law.
  • You have rights to access, correct, and delete your personal data.

 

f) Responsibility for content

You represent and warrant that your User Content:

  • Does not infringe any third-party moral, privacy, publicity or any other intellectual property rights.
  • Is not unlawful, 
  • Is not harmful or attempts to harm minors in any way.
  • Does not violate any law, regulation, statute, ordinance, rule of law or other governmental or administrative rule or restriction within which you intend to exploit the Generated Content.
  • Does not adversely impact an individual’s legal rights. 
  • Does not contain unlawful, harmful, abusive, harassing, tortious, vulgar, defamatory, false, intentionally misleading, libelous, pornographic, obscene material, or such that promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable or inappropriate.
  • Complies with all applicable laws and regulations, including but not limited to, indication that the Generated Output is AI-generated in a way that could not be reasonably misunderstood.
  • Does not contain personal data of third parties without proper consent.

 

We reserve the right to remove or refuse to process User Content that violates these rules.

 

6. Prohibited uses

In addition to any restrictions in our Fair Use Policy, you may not:

  1. Reverse-engineer, decompile, or attempt to extract source code or models.
  2. Circumvent usage limits or access controls.
  3. Interfere with or disrupt the Services’ operation.
  4. Resell or sublicense the Services without our written permission.

 

7. Service availability & modifications

  • We may modify, suspend, or discontinue any feature without prior notice.
  • Significant changes will be communicated via your registered email.

 

8. Intellectual property

a) Platform Rights 

All rights, title, and interest in the Services, including software, algorithms, trademarks, and proprietary technology (excluding your User Content), remain with EngageReel and its licensors. 

b) Generated Content Ownership

You own the Generated Content created from your User Content, subject to: 

  • Your compliance with these Terms.
  • Our underlying intellectual property rights in the platform and algorithms.
  • Third-party rights in training data or models.

c) Trademark Usage 

Our trademarks, logos, and brand elements may not be used without our prior written permission. 

d) Copyright Compliance 

You acknowledge that: 

  • AI training may involve copyrighted materials under fair dealing provisions.
  • You are responsible for ensuring your use of Generated Content respects third-party intellectual property rights.
  • We cannot guarantee absence of intellectual property conflicts.

 

9. Disclaimers

  • Services are provided “as is” and “as available.”
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by Singapore law.
  • AI-generated outputs may contain inaccuracies or artifacts; you are responsible for reviewing and verifying Generated Content before commercial use.
  • AI models may produce outputs that infringe third-party rights.
  • Generated Content may not always meet your specifications or expectations.
  • Platform performance may vary based on input quality and complexity.
  • We do not warrant that AI outputs will be free from bias or cultural sensitivities.
  • We are not responsible for the availability, content, or practices of third-party payment processors or integrated services.

10. Limitation of liability

To the extent permitted by Singapore law:

  • EngageReel’s total liability for any claims will not exceed the amount you paid for Services in the 12 months preceding the claim.
  • EngageReel is not liable for any indirect, incidental, special, consequential or punitive damages.
  • Due to the nature of AI-generated content, EngageReel’s results may vary in style, accuracy, quality and will not constitute grounds for a refund or credit.
  • We are not liable for business interruption, lost profits, or data loss.

We are not liable for any Generated Output which is (a) incorrect, (b) does not accurately reflect real people, places, or facts, (c) may be harmful, defamatory, disparaging and/ or offensive to any particular race, minority, ethnicity, gender, caste, creed or sex, or (d) may be offensive to one’s religious, ethical or moral beliefs.

11. Indemnification

You agree to indemnify and hold harmless EngageReel and its affiliates from any claims, damages, liabilities, or expenses arising from your:

  • Use of the Services;
  • Violation of these Terms;
  • Infringement of any third-party rights.


12. Data protection & privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and store your information

13. Termination

  • We may suspend or terminate your access immediately if you breach these Terms or if required by law. 
  • You may terminate your account at any time by contacting support.

 

14. Governing law & dispute Resolution

  • These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.
  • Any dispute will be resolved by the courts of Singapore, unless otherwise agreed in writing.

 

15. Credit Expiry Policy

Credits currently do not expire. However, the Company reserves the right, at its sole discretion, to modify the credit validity policy, including introducing an expiry period, at any time. Any such changes will be communicated in advance and will apply to both existing and future credits, unless otherwise specified.

16. Changes to these terms

We may update these Terms from time to time. The revised version will be posted on our website with the “Last Updated” date. Continued use of the Services after changes means you accept the new Terms.

17. Cybersecurity and Technical Compliance

a) Security Measures
We implement reasonable technical and organizational measures to protect your data, including

  • Encryption of data in transit and at rest.
  • Regular security assessments and updates.
  • Access controls and authentication systems.
  • Incident response procedures 

 

b) User Security Obligations 
You agree to

  • Maintain confidentiality of your account credentials.
  • Report suspected security incidents promptly.
  • Use reasonable security measures when accessing Services.
  • Comply with any security guidelines we provide.

 

c) Compliance with Cybersecurity Act 

We maintain cybersecurity standards in accordance with Singapore’s Cybersecurity Act and will cooperate with relevant authorities as required by law.

 

18. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or cyberattacks. We will make reasonable efforts to minimize service disruptions and communicate with users during such events.
